Belgrade Stock Exchange Planning Increase of Capital Assets Through Issuing of Shares

The Belgrade Stock Exchange has scheduled an extraordinary Stock Exchange Assembly for December 25, and the adoption of the Decision on the issuing of regular shares of Beogradska berza a.d. Beograd for the purpose of increasing the capital assets through new stakes is on the agenda.

The extraordinary 38th session of the Belgrade Stock Exchange Assembly will be held next Monday at its seat – in Omladinskih Brigada Street in New Belgrade, beginning at 10 am.

The Assembly consists of representatives of the Stock Exchange stakeholders and they decide by a two-third majority vote of the present stakeholders about increasing or reducing the capital assets, status changes, the appointment or the recalling of members of the Management Board, the president and the members of the Supervisory Board, auditors and liquidators, the change of the form and the stopping of the Stock Exchange and the distribution of the profit.

This time, however, the invitation says that the adoption of the Decision on the issuing of regular shares for the purpose of increasing the capital assets requires support from three fourths of the present shareholders.

The list of the shareholders of the Belgrade Stock Exchange is more than interesting. The biggest ownership stake belongs to the Republic of Serbia, which owns 51.71% shares. Another 12.98% belongs to Beogradska banka in bankruptcy, whereas 10.34% of the shares belongs to another bank in bankruptcy – Beobanka.

The fourth biggest stakeholder, with 10.24% shares, is the Athens Stock Exchange (Athex), which entered the ownership structure of the Belgrade Stock Exchange in 2021 “in order to jointly use the business opportunities in an era of accelerated globalization.”

The list of the stakeholders does not end there. Another 4.1% is owned by Banka Postanska stedionica, whereas 2.88% of the capital of the Stock Exchange is owned by Dunav osiguranje.


The seventh biggest stakeholder of the Belgrade Stock Exchange is Mobtel-PTT, which owns 2.16% of the shares, and the company’s portal says that it is a company which is the legal successor to Mobilne telekomunikacije “Srbija” BK-PTT (Mobtel), founded in 1994 by the agreement of Javno preduzeve PTT saobracaja “Srbija” and Sistem Braca Karic “BK-Trade” from Moscow.

– After the sale of the 063 and 062 GSM network in 2006 at a public auction to the Norwegian Telenor, the Agreement on the sale and the transfer of the stake which the Government of the Republic of Serbia approved on July 12, 2007, Javno preduzeve PTT saobracaja “Srbija” became the only owner of the Company – says the portal of Mobtel-PTT.

Today, PTT Saobracaja “Srbija” has a simpler name – Javno preduzece Posta Srbije, and is still the only owner of Mobtel-PTT.

The other owners of the Belgrade Stock Exchange are Nova Agrobanka in bankruptcy with a 1.92% stake, as well as Razvojna banka and Univerzal banka in bankruptcy with a 0.96% stake each.

The only natural person among the co-owners of the Belgrade Stock Exchange is Branislav Cosic, who owns 1%, that is, 42 shares.
